Terms of service.

These Terms of Service (“Terms”) govern your access to and use of the websites, content, services, events, programs, and offerings operated by Conscious Consortium LLC, doing business as ConsciousHR and DisrUpstate (“Company,” “we,” “us,” or “our”).

By accessing our websites or participating in our Services or Events, you agree to these Terms.

1. Scope & Acceptance

These Terms apply to:

  • Website visitors

  • Event attendees

  • Program participants

  • Purchasers of digital or physical products

  • Users of free or paid Services

If you enter into a separate written agreement with us (including a Service Agreement, Statement of Work, Event Agreement, or Sponsorship Agreement), that agreement controls in the event of a conflict.

2. Important Disclaimer — Not Legal Advice

ConsciousHR and DisrUpstate do not provide legal advice.

All Services, materials, recommendations, templates, policies, and communications are provided for general human resources, leadership, and business advisory purposes only.

  • We are not attorneys

  • No attorney-client relationship is created

  • No legal outcomes are guaranteed

You are responsible for consulting qualified legal counsel regarding employment law, contracts, compliance, and regulatory matters.

3. No Guaranteed Outcomes

Human resources, leadership development, and organizational advisory work involves professional judgment and discretion.

The Company does not guarantee:

  • Compliance status

  • Risk elimination

  • Specific business outcomes

  • Financial or employment results

All decisions and actions remain solely your responsibility.

4. Client & User Responsibilities

You agree that:

  • You are solely responsible for employment decisions and implementation

  • You will comply with applicable laws and regulations

  • You will provide accurate and complete information

  • You will obtain legal review when appropriate

  • You will maintain your own records, systems, and backups

The Company does not act as an employer, fiduciary, agent, or decision-maker.

5. Third-Party Platforms & Referrals

We may use or recommend third-party platforms or service providers (e.g., ticketing platforms, payment processors, HR systems, community platforms).

  • We do not control third-party services

  • We are not responsible for their availability, security, or policies

  • Any relationship with third parties is solely between you and them

6. Intellectual Property & Permitted Use

All content, materials, templates, programs, branding, audio/video recordings, and deliverables created by the Company (“Content”) are owned by the Company unless otherwise stated.

You are granted a limited, non-transferable, revocable license to use Content for your internal, non-commercial business purposes only, unless otherwise agreed in writing.

You may not:

  • Resell, sublicense, or distribute Content

  • Share Content with other HR vendors, consultants, or service providers

  • Create derivative works

  • Repurpose Content for commercial gain

  • Reverse-engineer or replicate offerings

Unauthorized use may result in termination of access and legal action.

7. Confidentiality

Both parties agree to keep non-public, proprietary, or sensitive information confidential.

This obligation survives termination of Services or Events.

8. Limitation of Liability

To the maximum extent permitted by law:

The Company shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, business interruption, loss of data, or reputational harm.

The Company’s total liability for any claim shall not exceed the fees paid to the Company in the twelve (12) months preceding the event giving rise to the claim.

Any claim must be brought within one (1) year of the alleged incident.

9. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its owners, employees, contractors, and affiliates from claims, damages, losses, or expenses arising from:

  • Your use of Services or Events

  • Employment actions or decisions

  • Violations of law

  • Misuse of Content

  • Reliance on guidance without legal review

10. Termination & Right of Refusal

We reserve the right to:

  • Refuse service

  • Cancel participation

  • Suspend or terminate access

  • Remove participants from Events

Termination does not relieve payment obligations or survival provisions.

11. No Fiduciary or Agency Relationship

Nothing in these Terms creates a fiduciary, agency, employment, partnership, or joint venture relationship.

12. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, health emergencies, acts of government, labor disruptions, or technology failures.

13. Governing Law & Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules.

Any legal action must be brought in state or federal courts located in New York.

14. Modifications

We may update these Terms at any time. Continued use of Services or Events constitutes acceptance of the updated Terms.

Event-Specific Terms & Conditions

These Event Terms supplement the Terms of Service above.

1. Tickets & Registration

  • All event registrations are non-transferable unless explicitly stated

  • Tickets may not be resold without written permission

  • Pricing, access levels, and inclusions are subject to change

  • All ticket sales are final unless otherwise stated on the event registration page.

2. Event Changes & Cancellation

The Company reserves the right to:

  • Modify schedules, speakers, locations, or programming

  • Cancel or reschedule events due to unforeseen circumstances

If an event is canceled by the Company, ticket holders will receive a refund, credit, or rollover to a future event.

3. Assumption of Risk

By attending events, you voluntarily assume all risks associated with participation, including travel, physical activity, group interaction, and venue conditions.

The Company is not responsible for:

  • Personal injury

  • Lost or stolen property

  • Travel or lodging issues

4. Code of Conduct

We are committed to creating inclusive, respectful, and safe environments.

We reserve the right to remove any participant who:

  • Engages in harassment, discrimination, or unsafe behavior

  • Disrupts programming

  • Violates venue rules or community standards

Removal may occur without refund.

5. Media Release

By attending an event, you grant permission for the Company to:

  • Photograph, video, or record you

  • Use your likeness for marketing, promotional, or educational purposes

If you do not wish to be photographed, please notify staff onsite.

6. Third-Party Venues & Vendors

Events may be hosted at third-party venues or involve third-party vendors.

The Company is not responsible for:

  • Venue policies

  • Vendor performance

  • Acts or omissions of third parties

8. Survival
